2008 Advanced Directors' College

The NC Bank Directors’ College has proven to be of great value to directors of all experience levels.   Institutions in North Carolina have continued to support this program not only with the participation of their state-chartered bank directors but also with the commitment of the chief executive officers to encourage their directors to attend.  However, one comment that continues to be expressed from directors who have attended is the need for additional classes.  

Since 2006 our office has partnered with the College of Management at North Carolina State University to offer advanced level programs for alumni of the NC Bank Directors’ College.  These programs address more advanced corporate governance topics including emerging best practices and board expectations related to audit committee responsibilities, risk management oversight, strategic planning, and organizational culture.  Our goal is to continue to offer additional advanced level classes that will focus on emerging issues in the financial industry and the challenges facing institutions.

   M&A Strategy: Creating and Preserving Value

Presented in partnership with the Enterprise Risk Management Initiative at North Carolina State University’s College of Management

 

Mergers & Acquisitions Strategy:  Creating and Preserving Value is intended to provide directors with the tools necessary to evaluate and act on M&A proposals and their implementation.  The program will begin with a focus on core strategic planning concepts that will then be integrated with a top-down risk perspective to help boards and senior executives meet and exceed expectations for effective oversight of strategy and risks associated with M&A opportunities.  The program will discuss the evaluation of strategic opportunities from a risk and reward perspective and address valuation issues associated with selecting or becoming an acquisition target.  It will also highlight implementation pitfalls, particularly integration issues associated with information technology and organizational culture, which have caused many such transactions to fail.

 

Participants will gain practical knowledge on these core elements:

 

·       Emerging Expectations for Boards: Balancing Strategy Setting and Risk Oversight Roles

·       Survey Says: Strategic Issues Facing NC Banks Today

·       Evaluating Strategic Alternatives: Risk vs. Reward

·       Selecting or Becoming an Acquisition Target: Valuation Issues

·       Mergers and Acquisitions: Integrating to Achieve Synergies

·       Making a Merger Successful: Lessons from the Front Lines

 

Recommended CPE:  8 hours

Cost: $550 for registrations before April 15th, $600 otherwise.
